Mid-Year Legal Checkup: Corporate Minutes & Compliance
As the first half of 2026 concludes, your "Paper Trail" must catch up with your operational reality. Many foreign firms "forget" to hold formal board meetings, which can create significant legal risks during a dispute or an audit.
The Mandatory Minutes
By June 30th, you should have recorded at least one (and ideally two) sets of Board of Directors Meeting Minutes. These should formally approve:
- H1 Financial Performance: Acknowledging the internal P&L.
- Major Contracts: Any leases, loan agreements, or high-value vendor contracts signed since January.
- Hiring Decisions: Formally noting the appointment of key management or changes in authorized signatories.
Why It Matters
In a Thai courtroom or a Revenue Department audit, "Verbal Agreements" hold very little weight. If you cannot produce signed, authorized "Minutes of the Board," your personal protection as a director (Limited Liability) could be challenged.
The Simple Process
You don't need a 20-page document. A 2-page summary signed by the authorized directors and stamped with the company seal is sufficient. This simple act of "Governance" is the backbone of your legal defense in the Kingdom.
